Intended change in ownership with Vos Logistics

Proposed buy-out of Vos Logistics by management and Scheybeeck Investments; the new shareholders are willing to invest in the company’s long-term vision

European logistics service provider Vos Logistics (Oss/The Netherlands) announces that the company’s management intend to acquire all shares in Vos Logistics in cooperation with Scheybeeck Investments. The parties will be supported by Delta Lloyd Mezzanine Fund by means of a subordinated loan. The change in share ownership is a logical step in the company´s growth strategy and ambitions.

Vos Logistics has undergone a sweeping transition in recent years to become a professional and flexible organization. The company has successfully cut its structural costs and returned to health in a competitive and rapidly changing market.

In the coming years, the strategy will be directed at:

• optimizing goods flows in cooperation with customers in order to create cleaner and more efficient logistics and transport solutions;

• further optimizing the cost of international transport networks for packed goods and dry bulk;

• realizing controlled growth in customer-specific logistics services both organically and through selective acquisitions.

The new shareholders are willing to invest in this long-term strategy. In addition, the capital position will be further strengthened and the debt position will be reduced to lay solid foundations for the company’s future.

The investment in Vos Logistics closely matches the long-term vision, entrepreneurship and experience of Scheybeeck in transport and logistics. At present, 80% of the shares in Vos Logistics are held by banks.

The proposed transaction must still be approved by the Netherlands Authority for Consumers and Markets (ACM). The transaction is expected to be completed in several weeks. No further announcements will be made until then.

Through a network of 25 group-owned locations, Vos Logistics is active throughout Europe. With nearly 1,900 employees, it operates a modern fleet of 1,200 Euro 4, 5, EEV and 6 vehicles, 3,000 loading units and 170,000 m2 of storage space. Logistic Services offers customer-specific logistics solutions, from forwarding, warehousing, value added services and distribution to full supply chain solutions in which Vos Logistics assumes management of part or all of the customer’s goods flow. In the bulk and volume transport markets, Vos Logistics is one of the largest road hauliers in Europe.
